Term and Condition

General Provision

This Term and Condition governs the use of Matchmade’s ("we", "us", or "our") software by Subscriber. This Term and Condition applies to all Subscribers who use the Product.

Definition

  • “Agreement” means Product Subscription agreement made by and between the Matchmade and the Subscriber include with appendices, amendments and/or supplements thereto.
  • “Handover Protocol” means a written document made and signed by the Parties through their legal representatives from time to time, which indicates the Products can be used by the Subscriber and has operated properly in accordance with specifications set forth in this Agreement.
  • “Fee” means subscription fee, Implementation fee, training fee and/or other additional fees based on this Agreement (if any).
  • “Disruption” means anything that renders the Product out of order due to defect/damage, based on the result of inspection and measurement.
  • “Product” means any and all products owned and developed by Matchmade to be provided with a subscription basis to Subscriber.
  • “Service” means any and all services related to the Product provided by Matchmade to Subscriber.
  • “Service Level Availability” or hereinafter referred to as “SLA” means a probability level of Product which can be used by Subscriber in 1 (one) month of use period.
  • “Confidential Information” means any information or data (in writing, orally or by any other means) disclosed by a Subscriber to Matchmade...
  • “Affiliate Party” means any companies that directly connected with PT MATCH MADE INDONESIA...
  • “Calendar Days” means calendar days consisting of 24 (twenty four) hours, which starts and ends at 24.00 WIB (West Indonesian Time)

Subscription Scope

Matchmade and its Affiliate provides Product in form of subscription-based software as a service (SaaS), other computer programming activities, processing, and/or data integrator according to the Product Tier that the Customer chooses which will further be regulated in the Scope of Work Document Number with its own SLA and Escalation Procedure.

Subscription Period

The subscription period of Product is 1 (one) year and can be extended.

Service Fee, Payment, Increment of Service Fee

Subscriber hereby agree that Service Fee incurred are in accordance with the Product Tier that the customer chooses.

Payment for Service may be done using certain payment terms.

Matchmade will provide a grace period of 7 (seven) calendar days if the customer fails to make payment, before shutting down the service.

An increment of Service Fees may occur when the Customer extends the subscription period or when there is a Change of Product.

Change of Product

Subscriber may If the Subscriber intends to change the Product, and/or make any amendment to the terms and conditions (Change of Product) without any additional charges as long as they remain within the specifications of the Subscriber’s Tier Product.

Changes of Product that exceed the specifications of Subscribers' Tier Product may be subjected to certain additional charges.

Data Handling

Subscriber hereby consents to Matchmade to, included but not limited to process and/or store personal data disclosed by Subscriber to the Company, in compliance with prevailing laws and regulations.

Subscriber acknowledges that Matchmade may disclose such personal data to third parties, including but not limited to payment processors, tax authorities, and/or other relevant parties for the execution of the Agreement.

Subscriber shall ensure that all personal data disclosed to the Company is and remains accurate throughout the term of this Agreement.

Matchmade may remove data in regards to the request of Subscriber, included but not limited to Personal Data, which shall be submitted by Subscriber through e-mail to Matchmade.

Subscriber shall appoint person-in-charge in regards of making requests to remove data as stated in Paragraph 4.

Matchmade will retain data owned by Subscriber during the term of this Agreement and 1 (one) year after the end of this Agreement.

Indemnity

Matchmade shall only be held responsible for its Service.

Subscriber shall be fully responsible for using Product provided by Matchmade.

Each Party ("Indemnifying Party") shall indemnify, defend, protect, and release the other Party and its Representatives...

Representations and Warranties

Subscriber represents and warrants that all data, information and/or statements specified in the Handover Protocol... is true in all material respects.

Matchmade warrants that it will provide the Product in a proper and professional manner...

Matchmade shall be exempt from any and all liabilities, claims, and/or lawsuits of any nature...

The Parties represent and warrant that each of representatives of the Party has full corporate power and authority to execute and deliver this Agreement...

Subscriber warrants that they have obtained prior authorization from the relevant Personal Data owner...

Subscriber shall indemnify and hold Matchmade harmless from all lawsuit, demands, and costs that incurs... as result of breach of Personal Data.

Matchmade shall only be liable for the result of Product to Subscriber and shall not be liable for Customer’s use of the said result to Third Party.

Confidentiality

The Parties agree that this Agreement and the documents attached are confidential and will only be disclosed to the respective employees on a need-to-know basis.

The existence of this Agreement... shall be deemed “Confidential Information”.

All Confidential Information shall remain the sole property of the Subscriber...

The Recipient shall not use any Confidential Information except in accordance with the provisions...

Matchmade shall treat the Confidential Information at least on equal footing with its own Confidential Information...

If the Matchmade is obligated to inform the Confidential Information according to the prevailing laws...

Each Party undertakes to apply a reasonable standard and degree of care towards maintaining confidentiality...

The Parties agree that the Subscriber would be irreparably injured by a breach of this Agreement...
